We are seeking a Contracts Specialist to support the Contracts/Legal department by reviewing confidentiality agreements and supplier/subcontractor agreements to ensure conformance with Company guidelines. Assists with a variety of contracts management tasks across the organization, ensuring compliance with Company policy, client requirements, and risk management standards.
Responsibilities:
- Support the preparation, negotiation, and execution of confidentiality agreements in accordance with Company policy and practice, client requirements and any unusual business or logistical risks.
- Support with negotiation of Purchase Orders from Procurement; collaborate with Buyers to ensure appropriate project flow-downs and language are included. All support provided shall be in conformance with Company policy and practice, client requirements and any unusual business or logistical risks.
- Support preparation, negotiation, and execution of services agreements (Engineering Services Agreement, Technical Services Agreement, Master Services Agreement) and corresponding work orders. All support provided shall be in conformance with Company policy and practice, client requirements and any unusual business or logistical risks.
- Assist with creation of project flow-down provisions and documentation to enable contractual handover from bid/proposal to project execution; assist with training to project teams as required.
- Assist with corporate management of all executed contracts in line with Company policies and procedures.
- Attend proposal/project meetings to proactively identify and communicate contract/commercial risks. All support provided shall be in conformance with Company policy and practice, client requirements and any unusual business or logistical risks.
- Support with the preparation and review of agreements relating to IT, HR, and BD departments including independent consultant agreements, sponsorship/event agreements, leasing, software/hardware agreements.
- Support with pre-qualification, RFQs, compliance/client questionnaires; manage contract amendments, renewals, and terminations.
Qualifications:
- Bachelor’s degree required; Paralegal Certification preferred.
- Minimum 7–10 years of experience.
- Must possess Upstream Oil & Gas knowledge in the following areas:
- Business Law and/or Procurement (Domestic and International)
- Review, preparation, and negotiation of Confidentiality Agreements, Service Agreements, and Purchase Orders
- General understanding of contract laws and principles
- Experience working for an EPC contractor
- Proficient with word processing and spreadsheet software.
- Foreign language skills are a plus.
- Strong writing skills; able to draft specialized contractual documentation with minimal guidance.
- Effective interpersonal skills for customer interaction, cross-functional collaboration, and training delivery.
- High attention to detail with strong priority management.
